Syntax-Brillian (Nasdaq:BRLC) today announced that the sale of its operations in Tempe dedicated to the manufacture of LCoS microdisplays and light engines to Compound Photonics U.S. Corporation, a wholly owned subsidiary of Compound Photonics Limited, was completed on Friday, December 21, 2007.
Under the terms of the agreement, the company has assigned and licensed its patent and intellectual property associated with LCoS to Compound Photonics U.S. Corporation in exchange for a 10% equity interest in Compound Photonics Limited. In addition, Syntax-Brillian will receive a nominal annual fee from Compound Photonics U.S. Corporation to offset intellectual property ownership maintenance costs. Compound Photonics U.S. Corporation used its parent company equity to acquire the LCoS manufacturing equipment and inventory and has assumed the lease on the proportionate Tempe facilities.
“We believe that the LCoS technology shows considerable longer-term promise and that under the management of Compound Photonics this business should continue to grow,” commented James Li, Syntax-Brillian’s CEO. “This sale also marks the achievement of an important milestone in our 120 day business plan which allows us to focus on the LCD business and dedicate our efforts in further strengthening the Digital Entertainment Technology product line.”
